Senior Counsel
Position Overview
Reporting to tms’s VP Legal & Compliance based in Hong Kong, the Senior Counsel for APMEA will help manage the legal affairs of the region for two business units (BU). This is a newly created role due to the growth demands of the business. The Senior Counsel will provide leadership and guidance to the business units, with an emphasis on providing legal perspective and advice on a wide range of strategic, tactical and operational issues. In support of the business, the Senior Counsel’s responsibilities will cover the entire range of legal matters that would typically confront a global company of this size and complexity including, for example, intellectual property (and investigations), basic insurance, corporate law, contracts, supply chain/sourcing, antitrust, labour law, marketing, government relations, digital technology, data privacy, online business operations, and electronic commerce, compliance and litigation.
The ideal candidate can manage a variety of work at a fast-pace, is able to partner with multiple stakeholders at all levels and enjoys working in a collaborative environment.
The Profile
- 7-10+ years’ experience
- Exposure to APMEA
- Experience with a large multi national company, US MNC experience a plus
- LLB/Juris Doctor degree
Key Responsibilities
- Drafting and preparing a variety of documents
- Review, redline, and negotiate commercial agreements and advise on legal exposure, risks and potential liabilities (i.e. NDAs, contract+renewals, amendments, MSAs and SOWs etc.)
- Provide counsel in connection with all BU related matters and disputes
- Collaborate with cross-functional regional teams including IT, HR, Global Compliance, General Counsel’s Office, Group Treasury, Group Tax etc. on global corporate governance matters, monitoring and updating corporate policies and compliance practices
- Ensuring the BU is in compliance with Group and BU policies and to regularly communicate legal policies and procedures to ensure stakeholders and employees understand exposures and become aware of any compliance issues
- Provide training to employees and stakeholders on best practices
- Investigation of counterfeit products
- Collaborate with outside counsel and manage their work effectively to achieve desired outcomes
- Support ad hoc projects
- Some regional and US travel required

- Have excellent verbal and written communications and interpersonal skills to effectively interact with key stakeholders, team members, business leaders, and employees at all levels within the Group

- Language: Native English speaker, proficiency in Mandarin or another Asian language a plus
